3. GENERAL PURCHASE AGREEMENT AND INDIVIDUAL CONTRACTS
This Agreement provides terms and conditions with regard to sales of Products between "Buyer" and "Supplier" (hereinafter to be referred to as “the Parties”) and is applicable to individual contracts (hereinafter referred to as "Individual Contract(s)") entered into between Buyer and Supplier after consultation between the Parties. Both Buyer and Supplier shall comply with the terms and conditions of this Agreement and Individual Contracts in fulfilling mutually beneficial business.
4. EFFECTIVENESS OF INDIVIDUAL CONTRACTS
4.1 An Individual Contract shall be deemed to have been effective when any Purchase Order sheet issued and submitted by Buyer to Supplier, by means of post or Email transmission, denoting date of issue, name of Products, type number, quantity, delivery time, place of delivery, unit price, total amount, etc. is confirmed and accepted by Supplier. Buyer shall issue the purchase order sheet by 60 days before the delivery time. 4.2 Buyer shall issue Purchase Order sheet(s) to Supplier by the date agreed upon separately between the Parties hereto and within five (5) working days after receipt by Supplier of a Purchase Order, the Supplier shall confirm in writing its acceptance or rejection of such Purchase Order (the acceptance of which shall not be unreasonably withheld). In the event Supplier does not agree to certain conditions of any purchase order, Buyer and Supplier shall discuss in good faith how to cope with the issue. 4.3 In the event Supplier does not give Buyer any notice whatsoever by the timeframe set forth in Purchase Order sheets under the foregoing clause after receiving any Purchase Order from Buyer, the Individual Contracts shall be deemed to have become effective upon expiry of the above period.4.4 In the event Buyer notifies Supplier of details of Purchase Order by Email instead of conventional style of physical Purchase Order sheet(s) despite the provisions under Clause 1.above, both Parties shall, if need be, negotiate separately to determine relevant particulars.
5. MODIFICATIONS TO INDIVIDUAL CONTRACTS
5.1 Either Party shall, in the event modification to an Individual Contract becomes necessary, promptly notify the other Party and such modification may only be effected with the prior consent of the other Party. Furthermore, in the event a modification is made to an Individual Contract, order sheet, etc. with regard to such an Individual Contract, the related documents shall be revised or prepared anew in accordance with the modifications agreed upon between the Parties.

5 。修改个人合同
