5.2 In the event any modification and/or change to an Individual Contract becomes necessary due to inevitable circumstances on either Party, the Party in need of the modification and/or change shall compensate for the damage the other Party should incurs as a result of the relevant modification and/or change. Buyer and Supplier shall consult with each other whenever required　to fix the extent of compensatory damages and amount of indemnities.
6. SPECIFICATIONS, UNIT PRICE
6.1 Before making an initial delivery of the Product, Buyer and Supplier shall consult with each other to agree to Product type number, specifications, unit price,minimum order quantity, delivery unit quantity, delivery place, etc.
6.2 The unit price of the Product shall be agreed upon by negotiation between Buyer and Supplier based on an estimate to be submitted by Supplier. In the event of significant change in social and economic circumstances such as a steep rise in various materials and commodities, etc. after the unit price of the Product has been fixed, both Parties shall agree to discuss on revision of the unit price of the Product.
7. DELIVERY
7.1 Supplier shall deliver the Products on delivery dates agreed upon by the Parties in accordance with Individual Contracts.
7.2 If Supplier has knowledge that it may fail or threaten to fail to deliver Products on the agreed Delivery Date, Supplier shall notify Buyer of this fact forthwith, stating reasons for delay, and providing a projected delivery date and take appropriate measures after consultation with Buyer.
8. INCOMING INSPECTION
8.1 Buyer shall implement Incoming Inspection of the Products as delivered to it by Supplier in accordance with the standards and methods agreed upon in advance separately between the parties hereto and notify Supplier of the outcome of Incoming Inspection within five (5) working days of receipt of the Products.
8.2 In the event the Products are rejected or shortage in delivered quantity are found as a result of an Incoming Inspection, Supplier shall promptly deliver to Buyer substitutes or make up the shortage of the Product or take appropriate measures agreed upon separately beforehand between the Parties. Deliveries of substitutes and making up shortages shall be in accordance with provisions of this Article with modifications as may be required.
8.3 Supplier shall take back from Buyer Products rejected or excessively delivered as a consequence of an Incoming Inspection, by the date agreed upon separately between the Parties. Buyer shall, until Supplier takes back the Products, keep the same with the attentive care under the reasonably good conditions.

5.2 如果任何一方对合同由于不可避免的因素做更改或改变，这一方将赔偿另一方由变更带来的损失。买方与供应商将彼此协商补偿的程度及补偿的数量。
6 规格 单价
6.1在首发货之前，买方与供应商将协商关于产品型数，规格，单价，最少订货量，发货数量，发货地点等等并达成协议。
6.2 产品的单价根据供应商提交的产品由买方与供应商协商而定，在产品单价固定后，如果社会及经济因素发生重大改变，比如各种原材料及日用品急剧上涨，那么产品的单价则由双方讨论协商做更改。
7.交货
7.1 供应商将根据双方签订的合同规定的日前发货。
7.2 如果供应商认识到不能按照合同规定日期发货，供应商应立刻通知买方这一事实，说明原因并提供新的发货日期且与买方协商。
8验货
8.1 买方根据事先签订的合同上规定的标准及方法验货并在收到货后的五个工作日内通知供应商验货的结果。
8.2经过验货后，如买方发现产品不合格或数量不足，供应商应迅速地发货给买方代替品或弥补产品的不足或根据事先双方达成协议采取适当方法。递送的代替品和弥补不足的产品应与供应货品一致。
8.3 供应商应根据合同规定的日期从买方取回不合格产品。买方在供应商取回产品之前应在适当的良好的条件下保管好产品使其保持与原来一样。
