Parties in Interest. This Agreement shall be binding upon and inure solely to the benefit of each Party hereto, and nothing in this Agreement, express or implied, is intended to or shall confer upon any person any right,
benefit or remedy of any nature whatsoever
under or by reason of this Agreement.

Waiver of Rights. No failure or delay on the part of either Party in the exercise of any
power, right or privilege hereunder shall
operate as a waiver thereof, nor shall any
single or partial exercise of any such power, right or privileges preclude other or further exercise thereof of any other right, power
or privilege.

Survivals. Notwithstanding the termination
or expiration of this Agreement, the provisions of Section 1 1 will survive for a period of five (5) years as of the date of termination
or expiration hereof.
IN WITNESS HEREOF, the duly authorized
representatives of the Parties have executed [2]counterparts of this Agreement, on the
date first above written.
