Parties hereto shall negotiate in good faith to modify this Agreement so as to effect the
original intent of the Parties as closely as
possible to the fullest extent permitted by
applicable law in an acceptable manner to the end that the transactions contemplated
hereby are fulfilled to the extent possible.

Entire Agreement. This Agreement constitutes
the entire agreement of the Parties and
supersedes all prior agreements and
undertakings, both written and oral, between
the Parties, or any of them, with respect to
the subject matter hereof.

Assignment. Neither Party shall be authorized to assign, transfer or otherwise dispose of
this Agreement or any right or obligation
resulting there from without prior written
consent of the other Parties. This is however without prejudice to the rights to financial
benefits to any export credit insurance.
