GC10. WARRANTIES-GAURANTEES: SELLER warrants that the Products shall be free from liens and defects in material, workmanship, and title, and shall conform in all respects to the terms of this PURCHASE ORDER and to the applicable drawings issued for manufacture, and shall be new and of the best quality, if no quality is specified. Unless the Warranty Period is otherwise extended, the conditions of which are provided elsewhere in this PURCHASE ORDER, the following warranty shall apply: if, at any time after Notification of Award and prior to eighteen (18) months after the date of the start up of the plant into which the Products have been incorporated or thirty (30) months from the date of completion of the delivery of the Products to the delivery point specified in the PURCHASE ORDER (whichever is the earlier), it appears that the Products, or any part thereof, do not conform to these warranties or to the specifications, and BUYER so notifies SELLER within a reasonable time after its discovery, SELLER shall promptly correct such nonconformity to the satisfaction of BUYER, or OWNER at SELLER’s sole expense; failing which BUYER or OWNER may reject or revoke acceptance, and cover by making any purchase of Products in substitution for those rejected and SELLER will be liable to BUYER for any additional costs for substituted Products; or BUYER may proceed to correct SELLER’s non conforming work by the most expeditious means available, the costs of which shall be SELLER’s account; or BUYER may retain the non conforming Products and an equitable adjustment reducing the total PURCHASE ORDER price to reflect the diminished value of such non conforming Products will be made by written Amendment. Products which are so replaced or rectified are guaranteed by SELLER in accordance with the provisions of this Clause for a period of eighteen (18) months from the date of replacement or rectification as the case may be or the remainder of the Warranty Period, whichever is the longer period (The Extended Warranty Period). SELLER’s liability hereunder shall extend to all damages proximately caused by the breach of any of the foregoing warranties, including incidental damages, such as removal, inspection, costs of return to SELLER, shipment of repaired or replacement Products from SELLER’s works to Site, re-installation, or warehousing. SELLER, however, shall not be liable for consequential damages such as loss of profit, loss of use or production, and costs of capital.

GC10担保证明：（GC10. WARRANTIES-GAURANTEES:）

卖方保证（SELLER warrants ）：本品不附带任何留置权（ liens 好像是那种使用许可的意思）。在制造材料、工艺、商标（title吃的不准）上无任何缺陷。并符合订购单和设计图纸的要求。同时保证产品质量为最优品（在无品质注明的情况下）并且是从未被使用过的。

在产品保证期内厂家对在本场采购的产品有如下保证（这里老外的表述是除了在产品保质期以外的产品和其他地方采购的产品，我们有如下保证）：

如果在接到结算通知（Notification of Award Award有决算的意思，可能是交付使用的意思）之后产品开始投入使用的18个月内，或在产品按规定时间（或更早）运送到的时刻起的30个月内（从产品运到开始计时）：

若在产品上的任何一个部分与厂家保证不一致或者不符合买方要求，买方有权在发现问题之后的任何规定时间内（reasonable time这里我理解为工作时间内）通知卖方，卖方应保证尽快为买方或产品的付费使用者修复这些不合乎要求的方。

产品买方或拥有者有权拒绝或退回任何残次品，并有权要求更换，此过程的一切额外费用由卖方承担（只是更换产品部分的费用）

卖方有权以一切可行的手段纠正买方的任何违规行为（纠正non conforming work），该过程的一切费用由买方承担。

买方有权利保留不合格产品，有权根据不合格产品的价格公平合理的将其从订单中所表述的价格中除去。（我的理解是如果有一个产品不合格那么您付出的费用的总合就可以将该产品的价格减去）

在以规定条款为依据的情况下，卖方保证在保质期（自交付使用自日算起）内的18个月内或保质期的延长期内的任何时间或在其他具体情况下对产品进行更换或修复。

卖方有义务陪付因违背上述担保所造成的任何损失包括：附带损失如产品移出，检测，返还给卖方的费用，运送修理，产品替换（replacement Products from SELLER's works to Site），重新安装，库存费用等。

卖方不负担使用成本，利润损失，使用不当所造成的损失和资金成本（costs of capital）。
