WHEREAS SIM BOON HENG (NRIC No.: S1675209F)of Blk 36 Chai Chee Ave, #04-151, Singapore 461036 (“Assignee”) is desirous of acquiring all right, title and the right to make an application for grant of a Patent in any and/or all countries of the world except China (“the Territory”) claiming priority from Chinese Patent Application No. 200720074971.6.

NOW, THEREFORE, for good and valuable consideration, the receipt of which is hereby acknowledged:

(1)The Inventors, by these presents, do sell, assign and transfer unto said Assignee in the Territory:-

(a)all rights, title and interest in the Invention including patent application rights claiming priority from Chinese Patent Application No. 200720074971.6 or otherwise, patents and other intellectual property that may be granted pursuant to any applications over the Invention (collectively referred to as “the Patents”) as well as all patents and other intellectual property that may derive priority from or have equivalent claims to or be based upon the Patents (and including supplementary protection certificates, divisions, continuations, continuations in part, reissues and extensions), and references to the Patents in Assignment shall be deemed to include all such items of property; and

(b)all rights of action, powers and benefits arising from ownership of the Patents, including without limitation the right to sue for damages and other legal and equitable remedies (and retain any financial award made in any action) in respect of all causes of action arising prior to, on or after the date of this Assignment.

(2)The Inventor agrees with the Assignee:-
(a) Further assurance
to execute such documents and give such assistance as the Assignee may require:
(i) to secure the vesting in the Assignee of all rights in the Patents;
(ii) to uphold the Assignee’s rights in the Patents;
(iii) to defeat any challenge to the validity of, and resolve any questions concerning, the Patents;
(iv) to apply for and endeavour to assist the obtaining of other patents or other similar protection for the Invention and any improvements of them in the Territory; and
(v) to do all that is necessary to vest such protection in the Assignee absolutely;

(b) Supply of information
(i) to inform the Assignee of all technical information concerning the Invention; and
(ii) to provide the Assignee with any documents or drawings relevant to the Invention.

(3) The Inventor hereby irrevocably appoints the Assignee as their attorney in their names to execute any document and do any act or thing which may be necessary to comply with the provisions of clauses 1 and 2 above.

(4) The Inventor warrants, represents and undertakes that subsequent to the execution of this Assignment he shall not enter into any agreement or understanding, oral or written, nor engage in any activity, which would in any manner be inconsistent with the provisions of this Assignment.

(5) The obligations on the Inventor under clauses
