5. RECORDS

a. Licensee shall maintain accurate records covering all transactions relating to the license granted herein reflecting net sales and computation of Royalty payments for Royalty designs only.

b. No more often than once per annum (one to four times annually if discrepancies are found), Licensor or its duly authorized representatives, at Licensor's expense, may, upon 72 hours notice and during normal business hours, examine records pertaining to Licensor’s products hereof in Licensee's possession or control in order to verify the calculation of Royalties payable to Havoc Gifts (Canada) Inc, who shall have the right to make extracts and copies therefrom.

c. If any such examination discloses any unjustifiable understatement of Net Sales or royalties paid by Licensee, Licensee shall pay to Licensor any additional Royalty due within ten (10) days of Licensor's written demand. Furthermore, if such understatement is greater than five percent (5%), Licensee shall reimburse Licensor for all actual costs relating to the examination.

d. Licensor and its duly authorized representatives agree to maintain any information acquired as the result of said examination in confidence and not to disclose such information to any other person or entity, provided, however, that nothing herein contained shall be construed to prevent Licensor and/or its duly authorized representatives from testifying in any court, tribunal, or proceeding wherein Licensor seeks to enforce or defend its rights under the terms of this Agreement.
