17.4 Illegality. Any provision of this Agreement prohibited by applicable law or by court decree will be ineffective to the extent of such prohibition without in any way invalidating or affecting the remaining provisions of this Agreement.

17.5 Assignment. Neither Party will transfer or assign any rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party. The Principal may at any time assign its rights and its obligations under this Agreement to its designated nominee in which case the Principal shall give notice of the assignment to the Distributor. In the event of such assignment, the rights and obligations of the Principal shall inure to and the obligations of the Principal shall be binding upon the affiliates and subsidiaries of the Principal.

5月17日转让。任何一方转让 或转让任何权利或义务的人，通过法律的运作或其他方式，不事先书面同意，
另一方。校长可随时转让其权利和本协议规定的义务，以指定的候选人在这种情况下，主要应通知转让给经销商。
在发生这种转让的权利和义务的主体应符合和义务的主体 ,应具有约束力的子公司和附属公司的首席(负责人)。
