13. INDEMNITY

13.1 The Principal hereby agrees to indemnify the Distributor in full against all liability, loss, damages, costs and expenses (including legal expenses) awarded against or incurred or paid by the Distributor as a result of or in connection with:-

13.1.1 breach of any warranty given by the Principal in relation to the Products; and

13.1.2 any act or omission of the Principal or its officers, directors, employees or agents in supplying or delivering the Products.

13.损失赔偿

13.1 据此委托人同意赔偿经销商因违约所致的全部损失、损害赔偿金，成本及经销商因此遭受或支付的有关费用支出（包括法定费用支出）

13.1.1委托人对于产品的任何约定担保之违反；以及
13.1.2 委托人及其官员，董事，雇员供应和配送产品的代理之行为或遗漏
