13.2 The Principal shall indemnify and hold the Distributor, its associates, business partners employees, officers and servants harmless at all times against all actions, proceedings, costs, claims, expenses (including legal costs on a fully indemnity basis), losses (whether direct, indirect or consequential) and damages (whether in tort, contract or otherwise) whatsoever which the Distributor may sustain, incur, suffer, or pay arising out of, in connection with or pursuant to, these terms and conditions or to the use of the Products which causes damage of whatever nature, whether it be damage to property or causes death or personal injury to any person or any act or omission of the Principal thereof, in particular in relation to any breach and/or non-compliance by the Principal of the terms and conditions herein.

13.3 The indemnities in Clauses 13.1, 13.2 and 13.3 shall remain operative and in full force and effect, regardless of any termination or expiration of this Agreement, and shall be separate and independent obligations from any other obligation owing to either of the Parties.

13.2 委托人应当赔偿损失且承担经销商及其关联往来商，商业伙伴，雇员，政府官员及其公务人员无论何时做出无恶意之违反行动和程序所导致的成本，索赔，费用支出（包括基于全部赔偿损失的法定成本），损失（无论直接，间接或由结果引起的损失）或参照或根据该类条款或因产品的使用而引起的任何性质的损害，经销商可能蒙受，遭致或支付更多的诸如损害赔偿金（无论基于侵权，合同或其他约定），包括财产损害，引起死亡的损害或对他人的个人伤害以及其他上述本金条款之遗漏而致的损害，尤其是委托中所列条款有关违约和/或非遵守条款之损害。

13.3无论该协议是否终止或到期，第13.1，13.2和第13.3条应持续且完全有效, 独立适用于未履行协议之规定义务的任何一方当事人。
