独家代理协议(草拟)
甲方(EAG (简称甲方)
乙方:CONNECT MARKETING AGENCY(简称乙方)
甲乙双方在严守信誉和商业道德的基础上,本着互惠互利友好合作的原则,就甲方授权乙方为区域代理达成如下协议:
一、 代理范围
1、 代理产品的范围
是指甲方www.eagstand.com上的所有电子产品
2、 代理区域的范围
仅指ENGLAND, WALES, and SCOTLAND.
二、 双方的权利与义务
1、甲方保留产品调整及价格调整权利
2、甲方在做广告时将优先推广乙方联系方式。
3、维护乙方总经销权益,即不在本合同第二条约定范围内另设经销商。
4、甲方必须切实保护乙方代理权益,甲方不得擅自与乙方代理范围内的销售商直接进行产品交易,特殊情况必须经乙方许可。
5、甲方支持乙方在代理区域内工作,不做不利于乙方的行为;
6、甲方推出新产品时,有义务第一时间通知乙方
7、甲方应把其收到的直接来自该地区用户的订单通知乙方
8、当乙方遇到不能解决的技术问题时,甲方有义务帮助解决。
9、甲方应保证货源、交货期及产品质量,不得无故拖延或推迟交货期。
10、甲方提供优质、快速的售后服务技术支持。
11、乙方保证在代理区域内不销售其他与甲方有竞争性的产品。
12、乙方必须严格遵守协议中的代理区域范围,未经甲方许可,不得超过本代理区域经营。
13、乙方应提供每一季度的市场报告给甲方,内容包括当地所有销售商的资料、与本协议代理商品销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见、其他供应商类似商品的报价和广告资料、有关竞争市场讯息等。
14、乙方不得与甲方其他代理商之间进行恶性竞争或者其他不正当竞争。
三、价格约定
1、甲方提供的所有产品价格为出厂价格,运费及其他杂费由乙方支付。甲方可协助乙方安排。
2、乙方可以根据代理区域的市场状况以自负盈亏的原则制定产品的合理销售价格,甲方承诺不干预乙方的销售价格。但乙方需要提供一份对外销售的报价单给甲方。
四、定货、运输及交货的约定
1、乙方定货,须以书面或传真方式向甲方提供所需产品的定单,并在定单上注明收货人的资料
2、出口的外包装由甲方负责
3、运输方式由乙方指定,甲方只负责与运输公司的沟通,运输过程中所需要的运输费用、保险费用、清关费用等其他杂费均由乙方承担
4、如遇特殊情况,乙方要求加急运输,该加急运输费用由乙方负责。

Part B: CONNECT MARKETING AGENCY
On the basis of abiding credit standings and commercial morals, Party A and Party B reach the

follow agreement on regional surrogate by the principle of reciprocal and cooperation

relationship.

I. Extension of surrogate
1. Extension of products
All the electronical products list on the website of www.eagstand.com
2. Extension of surrogate zone
Limited to ENGLAND, WALES, and SCOTLAND.

II. The rights and obligations of both parties
1. Party A reserves the right of products and prices adjusting.
2. Party A takes precedence of generalizing the contact quomodo of Party B when advertise.
3. Party A vindicates the franchisee rights and interests of Party B, viz. Party A can not

instate another additional franchisee in the zone which the second clause of the first section

demarcated.
4. Party A must vindicate the surrogate rights and interests of Party B, viz. Party A can not

trade solely with any franchiser in the surrogate zone of Party B, the admission of Party B is

needed on the special condition.
5. Party A sustains the surrogate of Party B in surrogate zone, adverse activities are forbidden.
6. Party A has the obligation of notifying to Party B when new product appears.
7. Party A should notifies Party B when receiving order form from clients in the surrogate zone

of Party B.
8. Party A has the obligation to assist in solving the unsolvable technique problems for Party B.
9. Party A should ensure the supply of goods, delivery date and quality of products, Party A can

not prolong or postpone the delivery date.
10. Party A should provide after services and technique support with high quality and swiftness.
11. Party B promises not to sale any products rivalrous to Party A.
12. Party B should abide the agreement on surrogate zone, Party B can not has ultra vires

vendition without the admission of Party A.
13. Party B should offer market reports to Party A every quarter, including:
a. Information of all the franchisers in the surrogate zone of Party B
b. Regional regulation changes which is correlative to the surrogate of this contract
c. Market Trend and vendees' opinions on the quality, packing and price of products Party A

provides according to the contract.
d. Information on quotations and advertisements of analogous products provides by other

providers.
e. Other competitive messages of market.

III. Stipulation on price
1. The price of all products Party A provides is factory price, Party B takes on the expend of

freight and other incidental expenses. Party A should assist Party B in the arrangement.
2. Party B can set the price independently according to the market status in surrogate zone and

the principle of assuming sole responsibility for own profits or losses.

IV. Stipulations on order, transportation and consignment
1. Party B should provide written or fax order forms when orders the needed products, and gives

clear indication of information on consignees in the order forms.
2. Party A presides over the outer packing for export.
3. Party B appoints the delivery means, Party A only takes the charge of negotiation with

delivery corporations. Party B will takes on the expend of freight, insurance premium, customs

clearance and other incidental expenses during products transit.
4. Party B takes on the expend of urgent freight when urgent transit is needed by Party B.
